Welcome to Retinue ("Retinue," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Retinue web application, including all content, functionality, and services offered (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT: By using Retinue, you acknowledge that our Service uses artificial intelligence and third-party services that may process your personal information. Please read our Privacy Policy carefully to understand how we handle your data.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you must have permission from your parent or legal guardian to use the Service. By using Retinue, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To use Retinue, you must create an account by providing: - A valid email address - A secure password - Your full name

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for: - Maintaining the confidentiality of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for: - Violation of these Terms - Fraudulent, abusive, or illegal activity - Extended periods of inactivity - Any other reason at our sole discretion

You may delete your account at any time through the Service settings.

4. Description of Service

4.1 Service Tiers

Retinue offers multiple service tiers:

Free Tier: Limited access to core features with usage restrictions.

Paid Tier: Enhanced features including but not limited to: - Connection to multiple calendars - Higher rate limits - Premium features (subject to change)

Specific features and limitations for each tier are available on our website and may be modified at any time.

4.2 AI-Powered Assistant

Retinue provides an AI-powered personal assistant using large language models (specifically, Anthropic's Claude) to help you with: - Scheduling and calendar management - Shopping assistance - Trip planning - Task management - General productivity support

4.3 Google Calendar Integration

Retinue offers optional integration with Google Calendar, allowing the Service to: - Read your calendar events - Create, modify, and delete calendar events on your behalf - Access calendar metadata

This integration requires your explicit authorization through Google's OAuth 2.0 process. Paid tiers may support multiple calendar connections.

4.4 Todo Management

Retinue allows you to create, manage, and organize tasks and todo items.

4.5 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. Paid Services

5.1 Pricing and Payment

• Pricing for paid tiers is displayed on our website and within the Service
• Prices are subject to change with reasonable notice
• Payment is processed through third-party payment processors
• All fees are non-refundable except as required by law

5.2 Subscriptions

• Paid subscriptions automatically renew unless canceled
• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods

5.3 Free Tier Limitations

The free tier may include limitations on: - Number of calendar connections - API rate limits - Feature availability - Storage capacity

These limitations are subject to change at our discretion.

6. Use of Third-Party Services

6.1 Anthropic Claude AI

Your conversations with the Retinue assistant are processed by Anthropic's Claude AI service. By using Retinue, you acknowledge and agree that: - Your messages will be sent to Anthropic for processing - Anthropic may process and use your data according to their own Terms of Service and Privacy Policy - We have no control over Anthropic's data practices - You should review Anthropic's terms at: https://www.anthropic.com/legal/consumer-terms

6.2 Google Services

When you connect your Google Calendar, you agree to: - Google's Terms of Service - Google's Privacy Policy - Grant Retinue the permissions necessary to access your Google Calendar

You may revoke Retinue's access to your Google account at any time through your Google account settings or through Retinue's calendar management interface.

6.3 Your Responsibility

You are responsible for your use of third-party services and compliance with their respective terms. We are not responsible for the actions, content, or data practices of third-party services.

7. Acceptable Use

7.1 Permitted Use

You may use Retinue only for lawful purposes and in accordance with these Terms.

7.2 Prohibited Conduct

You agree NOT to: - Violate any applicable laws or regulations - Infringe upon the rights of others - Use the Service to transmit harmful, offensive, or illegal content - Attempt to gain unauthorized access to the Service or related systems - Interfere with or disrupt the Service or servers - Use automated systems (bots, scrapers) without our written permission - Reverse engineer, decompile, or disassemble any part of the Service - Use the Service for any commercial purpose without our written permission - Impersonate any person or entity - Collect or store personal data about other users - Use the Service to send spam or unsolicited communications

7.3 AI Content Usage

You agree NOT to: - Use the AI assistant to generate illegal, harmful, or abusive content - Attempt to manipulate or "jailbreak" the AI assistant - Use the AI for purposes that violate Anthropic's Acceptable Use Policy - Share or publish AI-generated content that could mislead others

8. Intellectual Property

8.1 Our Rights

The Service and its entire contents, features, and functionality (including but not limited to software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Ridgebit LLC, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

8.3 Your Content

You retain ownership of all content you submit to Retinue (messages, todos, preferences). However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, copy, modify, and process your content solely to provide and improve the Service.

8.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

9. AI-Generated Content and Disclaimers

9.1 AI Limitations

Retinue uses artificial intelligence to provide assistance. You acknowledge and agree that:

ACCURACY NOT GUARANTEED: AI-generated responses may contain errors, inaccuracies, or outdated information. You should independently verify important information.

NO SUBSTITUTE FOR HUMAN JUDGMENT: You remain responsible for all decisions made based on AI suggestions, including but not limited to: - Meeting schedules and calendar entries - Travel arrangements - Shopping decisions - Task prioritization

9.2 Calendar and Scheduling Disclaimer

We are not responsible for: - Missed meetings or appointments - Scheduling conflicts or errors - Calendar synchronization issues - Loss of calendar data - Actions taken by the AI that affect your Google Calendar

YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL CALENDAR ENTRIES AND MEETING DETAILS.

9.3 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: - Warranties of merchantability - Fitness for a particular purpose - Non-infringement - Accuracy, reliability, or timeliness of content - Uninterrupted or error-free service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 No Liability for Damages

IN NO EVENT SHALL RIDGEBIT LLC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING: - Direct, indirect, incidental, consequential, or punitive damages - Loss of profits, revenue, data, or use - Loss of business opportunity - Missed appointments or scheduling errors - Errors in AI-generated content

10.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: - $100 USD - The amount you paid to us in the 12 months preceding the claim

10.3 Essential Purpose

These limitations apply even if a remedy fails of its essential purpose and regardless of the theory of liability (contract, tort, strict liability, or otherwise).

11. Indemnification

You agree to indemnify, defend, and hold harmless Ridgebit LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: - Your use of the Service - Your violation of these Terms - Your violation of any rights of another party - Your content or data - Your use of third-party services through Retinue

12. Privacy and Data

12.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

12.2 Data Storage

We store your data in a secure hosting environment located in the United States. You acknowledge that: - Your messages and conversations are stored in our database - Your Google Calendar tokens are stored securely - We may process your data to provide and improve the Service

12.3 Data Deletion

You may request deletion of your account and associated data at any time. Upon account deletion: - We will delete your personal information within 14 days - Some data may be retained in backups for up to 14 days - We may retain anonymized data for analytics

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by: - Posting the updated Terms on the Service - Updating the "Last Updated" date - Sending an email to your registered email address for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. Termination

14.1 Termination by You

You may terminate your account at any time by: - Using the account deletion feature in settings - Contacting us at info@ridgebit.net

14.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for: - Breach of these Terms - Fraudulent or illegal activity - Extended inactivity - Any reason at our sole discretion

14.3 Effect of Termination

Upon termination: - Your right to use the Service immediately ceases - We may delete your account and data - Sections of these Terms that by their nature should survive will survive termination

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law principles.

15.2 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@ridgebit.net. We will attempt to resolve the dispute informally within 60 days.

15.3 Venue

Any legal action arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in Connecticut, and you consent to the jurisdiction of such courts.

15.4 Time Limitation

Any claim or cause of action arising from or related to these Terms or the Service must be filed within one (1) year after the claim or cause of action arose, or be forever barred.

16. General Provisions

16.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Ridgebit LLC regarding the Service.

16.2 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

16.6 Export Control

You agree to comply with all applicable export control laws and regulations.

16.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
